About these terms

These terms cover your use of nethric.ai and how Nethric provides services. The site is static, hosted on Cloudflare, and project enquiries are handled by email. By using the site you agree to them. If we agree a written quote or project agreement with you, that document takes priority over these terms wherever they differ.

Who we are

Nethric is the registered business name of Matthew Donnelly, a sole trader based in Victoria, Australia (ABN 88 971 756 141). Contact: team@nethric.ai.

Services

Nethric provides websites, apps, custom tools and dashboards, software prototypes, workflow automation and video on a paid, per-project basis.

• Scope first. Every project is quoted in writing before work starts: what will be built, the price, the timing and how you will check the result. Work outside that scope is quoted separately.
• Payment. A 50% deposit is due before work starts, and the balance is due on delivery. Larger projects may instead be paid in stages, as set out in the quote. Nethric is not registered for GST, so no GST is charged on our invoices.
• Your inputs. You give us the access, examples and information the work needs. You are responsible for having the right to share them.
• Third-party costs. Hosting, AI model usage and other third-party services a tool depends on are agreed up front. Unless we agree otherwise, you pay for them directly.
• AI output. Tools that use AI models can produce wrong or unexpected results. We build in review points where they matter, and the handover notes the known limitations. You remain responsible for checking outputs before relying on them.
• Confidentiality. We keep your business information confidential. We use it only to do the work, unless you agree otherwise or the law requires disclosure.
• Ownership. Once you have paid in full, you own the deliverables we build specifically for your project. Nethric keeps ownership of its pre-existing tools, code and know-how, and grants you a licence to use any of them that are included in your deliverables. Open-source components stay under their own licences.
• Portfolio. We will only mention your project publicly with your permission.
• Cancellation. Either of us can end a project by written notice. See Payments and Cancellations for what is refunded or payable.

Acceptable use

You agree not to use this site or its content to:

• Access or collect data from the site in a way that disrupts it or bypasses its security.
• Impersonate Nethric or anyone working with it.
• Do anything unlawful, harmful or abusive.
• Interfere with or disrupt the site’s infrastructure or security.

Intellectual property

The text, design, images and code of this site belong to Nethric unless stated otherwise. Projects that Nethric publishes as open source, such as Cortex on GitHub, are covered by the licence in their own repository. Nothing on this site gives you the right to use the Nethric name or mark.

Your consumer rights

Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that services are provided with due care and skill. Nothing in these terms limits those rights.

The general information on this site is provided as is.

Limitation of liability

To the extent the law allows, and subject to your rights under the Australian Consumer Law:

• Nethric’s total liability for any claim about a project is limited to the fees you paid for that project;
• where the law allows, our liability for a failure to meet a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again;
• we are not liable for indirect or consequential loss, such as lost profits or data, except where the law does not allow us to exclude it.

Changes to these terms

We may update these terms. The date at the top shows when they last changed. A project already agreed stays on the terms in place when it was agreed, unless we both agree otherwise.

Governing law

These terms are governed by the laws of Victoria, Australia.
